Welcome to escal-ai. These Terms of Service ("Terms") govern your access to and use of our website, consulting services, and custom autonomous agents. By accessing our website or utilizing our services, you agree to comply with and be bound by these Terms.
1. Services & Custom AI Agents
escal-ai provides strategic Artificial Intelligence consulting, automation pipeline audits, and custom autonomous software agent development. Detailed specifications, timelines, and deliverables for development projects are governed by separate, signed Statements of Work (SOW).
2. AI Suggestions & Code Review Disclaimer
Our automated code analysis systems (including the GitHub AI Reviewer / escal-reviewer) generate review comments, code modifications, and technical debt issues based on large language models. These automated outputs are strictly advisory. Software developers must review, validate, and test all AI-generated suggestions prior to merging or deploying code. We assume no liability for bugs, security issues, or service outages caused by code changes suggested by our AI agents.
3. Intellectual Property Rights
Clients retain full, exclusive ownership of custom source code, configurations, and deliverables developed specifically for them and delivered under a completed contract. escal-ai retains all ownership, patents, and copyright in its pre-existing core software, development frameworks, and general-purpose prompt libraries.
4. Acceptable & Lawful Use
You agree to use our website, tools, and developed agents only for lawful purposes. You must not use our services to create agents that engage in malicious activities, spamming, phishing, automated harassment, or violate the API guidelines of third-party platforms (such as WhatsApp, GitHub, or OpenAI).
5. Limitation of Liability
To the maximum extent permitted by applicable law, escal-ai and its directors shall not be liable for any direct, indirect, special, incidental, or consequential damages resulting from the use or inability to use our systems, consulting recommendations, or custom AI agents.
6. Governing Law
These Terms and any disputes arising out of them shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions.
